BANK OF AFRICA – BMCE Group corporate governance system is also assured by nine internal committees which ensure that decisions taken by the Board of Directors are implemented as part of the company's day-to-day running
Corporate Governance, Appointments & Remuneration Committee
The Corporate Governance Committee is a body reporting directly to the Board of Directors. It advises and makes recommendations to the Board on how to adopt and maintain a good governance policy.
The Corporate Governance, Appointments & Remuneration Committee is chaired by Mr François Henrot, Independent Director
Group Risks Committee
The Group Risks Committee assists the Board of Directors in matters such as strategy and risk management. In particular, it ensures that overall risk policy is adapted to the risk profile of both the Bank and the Group, the degree of risk aversion, its systemic importance, its size and its capital base.
The Group Risks Committee is chaired by Mr Philippe DE FONTAINE VIVE, Independent Director.
Group Audit and Internal Control Committee
The Group Audit and Internal Control Committee assists the Board of Directors in internal control. It ensures that the internal control system and resources are appropriate so as to be able to monitor and control risk within the Bank and at subsidiary level. It oversees the production of information required by regulatory authorities as part of the process of monitoring the Group as a consolidated entity.
The Group Audit and Internal Control Committee ensures that the financial information intended for the Board of Directors is reliable and accurate so that the legitimate interests of shareholders, depositors and other stakeholders are safeguarded. The Group Audit and Internal Control Committee examines the parent company and consolidated financial statements prior to submitting them to the Board of Directors for approval.
The Group Audit and Internal Control Committee is chaired by Mr Brian HENDERSON, Independent Director.
This Committee is responsible for steering the Group’s corporate strategy. It is the operational relay for the Board of Directors in making strategic proposals, implementing strategic decisions taken by the Board and closely monitoring Group risk management. It steers Group activities and rules on any operational and functional issue that comes under the remit of the Group’s entities and internal committees.
Chairman’s Commitee is chaired by the Chairman & Chief Executive Officer.
Group General Management Committee
The General Management Committee is BANK OF AFRICA’s management body which lies at the very heart of the banking group’s domestic operations. The General Management Committee, which is an operational relay for the Group Executive Committee, is responsible for translating and monitoring the Group’s corporate strategy into operational initiatives and measures.
The Group General Management Committee is chaired by the Group Executive Managing Director.
The Operating Committee, which reports to the Group General Management Committee, is a body that is responsible for reporting and information-sharing. It rules on any issue relating to the Bank’s day-to-day operations. As such, it provides business line expertise and makes recommendations to the Group General Management Committee to assist with decision-making.
The Operating Committee is chaired by the Delegated General Manager responsible for Group Operations.
Group Internal Control Coordination Committee
The Group Internal Control Coordination Committee is a sub-committee of BANK OF AFRICA Group’s General Management Committee. It helps the latter manage and monitor, at the operational level, control systems at Group level.
The Group Internal Control Coordination Committee Is chaired by the Chairman of the Group General Management Committee and, in his absence, the Group General Controller
Group Risk Steering and Management Committee
The Group Risk Steering and Management Committee is a sub-committee of the Group General Management Committee. It helps the latter manage and monitor, at the operational level, the Group’s risk steering policy as well as ensuring that the Group’s operations comply with risk policy and the limits set. The Committee also ensures that the risk steering policy is effective and consistent with risk management policy relating to credit, market and operational risks.
The Steering and Group Risk Management Committee is chaired by the Group Executive Managing Director
Group ALM Committee
The Group ALM Committee is the body responsible for drawing up and implementing the Group’s asset-liability management strategy in line with the strategy determined by the Board of Directors.

Environmental, Social and Sustainability (ESS) Committee
The Environmental, Social and Sustainability Committee enables environmental, social and governance (ESG) aspects to be incorporated within the Group’s governance system, thereby ensuring that sustainability is fully embedded within its organisational structure. The ESS Committee’s main responsibilities consist of ensuring that the Environmental, Social and Gender action plan is implemented across the Group and that ES risk management practices within the Group are effective. Moreover, the ESS committee develops and supervises Impact Finance performance indicators as well as sustainable development and CSR global undertakings.
The Environmental, Social and Sustainability Committee is chaired by the Deputy Chief Executive Officer of BANK OF AFRICA
